Terms of Service

The agreement between you and Pruvio.

These Terms of Service (Terms) are a binding agreement between you and Dynamic Trading Ventures LLC, a Maryland limited liability company doing business as Pruvio (Pruvio, we, us, our), governing your use of the Pruvio web and mobile applications and related services (the service). By creating an account or using the service, you agree to these Terms.

1. Eligibility#

Pruvio is a tool for businesses. You must be at least 18 years old and able to form a binding contract to use the service. You may use the service only for business purposes and only on behalf of a business you are authorized to represent. The service is not intended for personal, household, or consumer use, and is not directed to children under 18.

2. Accounts#

You are responsible for the accuracy of the information you provide, for keeping your password secure, and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect unauthorized use. You are responsible for the users you invite to your account and for their compliance with these Terms.

3. Subscriptions and billing#

Pruvio is offered on a subscription basis, with optional free trials. Paid plans renew automatically for the same term until cancelled.

Web billing. Subscriptions purchased through our website are processed by Stripe. By subscribing, you authorize recurring charges to your payment method until you cancel.
Mobile billing. Subscriptions purchased in our iOS or Android apps are processed by the Apple App Store or Google Play and managed through RevenueCat. Those purchases are governed by the app store's terms, and billing, renewal, and cancellation are handled through your app store account.
Trials. Free trials, including the 7-day no-card trial, convert to a paid subscription only if you choose to subscribe. See our Refund and Cancellation Policy for details.

Pruvio charges no platform fee on payments you collect from your own customers.

4. Cancellation and refunds#

You can cancel at any time. How cancellations and refunds work, including for web and app store purchases, is described in our Refund and Cancellation Policy, which is incorporated into these Terms.

5. Your content and photos#

You retain all rights to the content you create or upload to the service, including your projects, client records, and photos (your content). We do not claim ownership of your content.

You grant Pruvio a limited, non-exclusive, worldwide license to host, store, process, transmit, and display your content solely as needed to operate, secure, and provide the service to you. This license ends when you delete the content or close your account, except for backups retained for a limited period and records we must keep by law.

You are responsible for your content and for having the rights needed to upload it, including any rights or consents needed for photos that include other people or their property.

6. Our intellectual property#

The service, including its software, design, and the Pruvio name and logo, is owned by Pruvio and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the service in accordance with these Terms. You may not copy, modify, reverse engineer, resell, or create derivative works from the service except as permitted by law.

7. Acceptable use#

Your use of the service must comply with our Acceptable Use Policy, which is incorporated into these Terms. We may suspend or terminate accounts that violate it.

8. Disclaimers#

The service is provided on an as is and as available basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error free, or secure, or that any verification output will be admissible or accepted in any particular proceeding. You are responsible for evaluating the service for your own purposes.

9. Limitation of liability#

To the maximum extent permitted by law, Pruvio and its officers, members, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the service. Our total liability for any claim relating to the service will not exceed the amount you paid Pruvio in the twelve months before the event giving rise to the claim.

10. Indemnification#

You agree to indemnify and hold harmless Pruvio from any claims, damages, liabilities, and expenses, including reasonable attorneys' fees, arising out of your content, your use of the service, or your violation of these Terms or of any law or the rights of a third party.

11. Termination#

You may stop using the service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the service or other users. On termination, your right to use the service ends, and the sections that by their nature should survive, including content licenses for backups, disclaimers, liability limits, and indemnity, will survive.

12. Governing law and venue#

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of laws rules. You and Pruvio agree that the exclusive venue for any dispute arising out of or relating to these Terms or the service will be the state or federal courts located in Montgomery County, Maryland, and you consent to the personal jurisdiction of those courts.

13. Changes to these terms#

We may update these Terms from time to time. We will communicate material changes by email or through an in-app notice. Your continued use of the service after changes take effect means you accept the updated Terms.

14. AI features#

The service includes optional AI features, such as AI reports, dispute letters, photo analysis, job creation, price extraction, voice transcription, translation, portfolio descriptions, and workflow AI. When you use an AI feature, Pruvio sends the relevant job and account data to our third-party AI provider, Anthropic, which processes it to generate the output you requested. Using AI features is optional, and how this data is handled is described in our Privacy Policy and is governed by Anthropic's privacy policy. AI output may contain errors, so you are responsible for reviewing it before you rely on it.
